Master Terms & Conditions of Platform Use

1. Acceptance of Terms & Platform Identity

These Master Terms and Conditions of Platform Use (the "Terms") constitute a legally binding electronic agreement under the Indian Contract Act, 1872 and the Information Technology Act, 2000 between you (whether an individual architect, firm partner, vendor, OEM representative, showroom owner, or corporate purchaser) and:

By creating an account, browsing any of the 14 ecosystem modules, requesting a material Bill of Quantities (BoQ), booking an HP Z-Series workstation trial, or accessing an API, you expressly agree to be bound by these Terms, our Privacy Policy, Website Policy, and Cookies Policy.

2. Eligibility & Professional Verification

Interiors Express is a specialized B2B commercial infrastructure platform. Access is restricted to:

• Registered Architectural Practices and Interior Designers holding valid credentials (such as Council of Architecture (COA) registration or AID certification).
• Corporate real estate procurement teams, builders, and institutional property owners.
• Manufacturers, OEMs, Importers, Distributors, and Authorized Dealers with valid Indian GSTIN and enterprise registration.
• Turnkey general contractors, structural MEP consultants, and empanelled NBFCs/financiers.

We reserve the absolute right to audit credentials and reject, suspend, or terminate any account found to have submitted counterfeit COA numbers, fraudulent GSTIN certificates, or fabricated project portfolios.

3. Single SSO & Dual-Mode Access Architecture

Registered users are issued unified credentials under the Interiors Express Single Sign-On (SSO) Gate:

• Buyer / Specifier Mode: Intended for architects, designers, and project managers to search 15,786+ SKUs, assemble BoQs, request 4-hour city swatch boxes, and compare specifications.
• Supplier Mode: Restricted behind authenticated supplier verification walls. Vendors, OEMs, and showrooms in this mode manage trade dossiers, line-item factory quotes, inventory staging, and sample dispatch queues.

You are strictly prohibited from sharing user session tokens or attempting to bypass the mode verification gates.

4. Platform Role & B2B Marketplace Model

Interiors Express operates as an intelligent agentic B2B marketplace and technical specification conduit. Unless expressly stated in a signed Turnkey by Us tri-party contract:

• Interiors Express facilitates deterministic matching, technical auditing, and specification indexing, but is not the manufacturer or physical stockist of third-party vendor products.
• Product warranties, BIS/ISO certifications, fire-retardant ratings, and performance claims remain the sole legal responsibility of the respective manufacturer or vendor.

6. 4-Hour Samples & Physical Showrooms

The platform's 4-Hour City Sample Box service is available across designated tier-1 and tier-2 market clusters (Mumbai, Delhi NCR, Bangalore, Pune, Ahmedabad, Hyderabad, Chennai, Surat). Sample dispatch is contingent on immediate local showroom or distributor stock readiness. Showroom 360° virtual appointments booked through 05_showrooms must be honored by registered partner showrooms.

7. Intellectual Property & Anti-Theft Shield

All intellectual property on Interiors Express is strictly protected under Indian copyright, trademark, and trade dress statutes:

• Architect & Studio Content: Architectural blueprints, photos, CAD drawings, and design renderings uploaded by practices remain the intellectual property of the respective studio. Studios grant Interiors Express a limited license to display project case studies on 04_projects.
• Platform Proprietary Assets: The CIE-L*a*b* 12 Tonal Classification Engine, Jev (SystemOne) slot-parsing algorithms, 24-parameter IE Credibility Score, and KIRAN Concierge engines are the exclusive trade secrets and proprietary property of Interiors Express.
• Anti-Scraping & Forensic Watermarking: Right-click saving, drag-and-drop, and automated harvesting of swatches and high-resolution visuals are strictly prohibited. You consent to forensic session watermarks stamped on downloaded technical schedules.

8. Material Tolerances & Caveat Emptor

Architects and specifiers are advised that physical natural materials (including natural wood veneers, Italian marble slabs, kiln-fired ceramic tiles, hand-woven textiles, and PVD metal finishes) exhibit inherent batch shade variations ($\Delta E$), grain variances, and physical dimensional tolerances. While our digital visualizers operate under calibrated CIE-L*a*b* D65 illumination standards, final production approval must always be verified using physical 4-hour swatch samples.

9. Compute Workstations & Studio Trials (`13_compute`)

Workstation hardware audits, HP Z-Series trials (HP Z2 Mini, Z4 G5, Z8 Fury), and VNS Remote Anyware private cloud deployments are subject to formal equipment loan agreements. Commercial users are liable for physical damage, hardware tampering, or unlicensed third-party software installation during trial periods.

10. Milestone Escrows & Turnkey Contracts (`14_turnkey`)

For projects executed under Turnkey by Us:

• Funds deposited into milestone escrow accounts are held by regulated partner banks / escrow trustees and released only upon joint sign-off by the Principal Architect and the Interiors Express Project Management Consultant (PMC).
• Change orders or scope variations must be processed through an itemized BoQ revision (R0 $\rightarrow$ R1 $\rightarrow$ Locked Scope) inside the platform Deal Room.

11. Limitation of Liability & Indemnity

To the maximum extent permitted under Indian law, Interiors Express shall not be liable for indirect, incidental, punitive, or consequential damages arising from site delays, labor contractor disputes, force majeure events, or transport strikes. You agree to defend, indemnify, and hold harmless Interiors Express, its directors, and technical affiliates against any third-party claims arising from your breach of these Terms or infringement of third-party IP rights.

12. Governing Law, Dispute Resolution & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any dispute, controversy, or claim arising out of or in connection with these Terms shall first be resolved through good-faith mutual negotiations within 30 days.

If unresolved, disputes shall be referred to and finally settled by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 by a sole arbitrator mutually appointed by the parties. The seat and venue of arbitration shall be Gurgaon, Haryana, India. The language of arbitration shall be English. Subject to arbitration, the courts of competent jurisdiction at Gurgaon, Haryana shall have exclusive jurisdiction.
